Terms of Service.
The rules for using our website and working with us. Last updated: October 2026.
1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the CodeTriq website and any services we provide. CodeTriq is a software development studio based in Ranchi, India.
By accessing our website or engaging our services, you agree to these Terms. If you are using our services on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
2. Our Services
CodeTriq provides mobile app development, website and web app development, AI solutions, and custom software development for founders and businesses.
Specific deliverables, timelines, and pricing for any engagement are defined in a separate proposal, statement of work, or agreement between you and CodeTriq. If a project agreement conflicts with these Terms, the project agreement controls for that engagement.
3. Quotes, Payment, and Invoicing
Unless a project agreement says otherwise:
- Quotes are estimates based on the scope discussed; significant scope changes may affect pricing and timelines.
- Invoices are due within the period stated on the invoice. Late payments may pause work and may incur reasonable interest.
- Fees are non-refundable except as expressly agreed in writing or required by law.
- You are responsible for applicable taxes and third-party costs (app store fees, hosting, licences) unless included in your quote.
4. Client Responsibilities
Successful projects need your participation. You agree to:
- Provide timely feedback, approvals, content, credentials, and access needed to do the work.
- Ensure you have the rights to any materials you give us and that they do not infringe third-party rights.
- Review deliverables within agreed review windows; delays on your side may shift timelines.
- Keep project credentials and deliverables confidential until launch as agreed.
5. Intellectual Property
Upon full payment, the deliverables we create specifically for you — code, designs, and documentation — are assigned to you, except for our pre-existing tools, libraries, and reusable components, which remain ours but are licensed to you as needed to use the deliverables.
We may reference the work in our portfolio unless we agree otherwise in writing. You retain ownership of your brand, content, and materials provided to us.
6. Confidentiality
Each party agrees to keep the other party’s non-public information confidential and to use it only for the purpose of the engagement. This does not apply to information that is public, independently developed, or required to be disclosed by law.
7. Warranties and Disclaimers
We warrant that services will be performed with reasonable skill and care. Beyond that, the website and our services are provided "as is" and "as available" — we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that software will be error-free or uninterrupted, or that deliverables will achieve specific commercial results.
8. Limitation of Liability
To the maximum extent permitted by law, CodeTriq will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our total liability for any claim arising from the website or services is limited to the amount you paid us for the services giving rise to the claim in the twelve months before the event.
9. Revisions and Acceptance
Projects include the revision rounds stated in your proposal. Deliverables are considered accepted when you approve them, use them in production, or fail to respond within the review window specified in the project agreement.
10. Termination
Either party may end an engagement as permitted by the project agreement, or immediately for material breach that is not cured within a reasonable period after written notice. You pay for work performed up to the termination date, including work in progress.
11. Governing Law
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Ranchi, Jharkhand, unless a project agreement specifies otherwise.
12. Changes to These Terms
We may update these Terms from time to time. The current version is always posted on this page. Continued use of the website or services after changes take effect means you accept the updated Terms.
